1. This application challenges "issue process" order in Case No. 3461/2013 passed by the Metropolitan Magistrate, 7th Court, at Dadar wherein the applicants were cited as accused nos.5 and 8. Form No.DIR-11 and the annexures to Director's report show that the applicants were "Independent Non-Executive Directors" of M/s. Tecpro Systems Limited also shows that, they had resigned on 17th December, 2014.

2. Mr. Desai, the learned Counsel for the applicants, has taken me through the complaint, to contend that, there are no specifc averments against the applicants showing as to how and in what manner, they were responsible for conduct of business of the Company.

3. Though, the complainant has caused his appearance and sought time to fle reply, till date reply has not been fled. Stand over to 28th January, 2022.

4. Thus, in consideration of the facts of the case, there shall be ad-interim relief in terms of prayer clause (b) qua the applicants.
